These Terms of Service ("Terms") govern your access to and use of the Urim KYC platform, website, API, and related services (collectively, the "Service") operated by Urim KYC ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
Urim KYC provides Know Your Customer (KYC) and Anti-Money Laundering (AML) compliance screening tools, including sanctions list screening, Politically Exposed Persons (PEP) detection, and criminal records checks. The Service is available via a web-based dashboard and a REST API.
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account.
The Service is offered on a monthly subscription basis. Pricing is as published on our Pricing page at the time of signup. We reserve the right to change pricing with 30 days' written notice. Fees are non-refundable except as required by applicable law. If payment is not received, we may suspend access to the Service.
Each subscription plan includes a monthly screen allowance. Usage resets at the start of each billing cycle. Unused screens do not roll over. If you exceed your plan's screen limit, the Service will return an error until the next billing cycle or until you upgrade your plan.
All subscription plans include API access. API keys are personal to each analyst and must not be shared. You are responsible for securing your API keys and for all API activity conducted with them. We reserve the right to rate-limit or suspend API access if usage patterns suggest abuse or compromise.
Your use of the Service is also governed by our Privacy Policy. Each tenant's screening data is stored in an isolated database. We do not share your screening data with other tenants. You are responsible for ensuring that your use of the Service complies with all applicable data protection laws in your jurisdiction.
The Service provides screening results based on publicly available sanctions lists, PEP databases, and criminal records databases. Results are informational and intended to support — not replace — your compliance judgment. We do not guarantee that results are complete, accurate, or current. Sanctions lists are updated regularly but may not reflect the most recent changes by issuing authorities. You are solely responsible for all compliance decisions made based on screening results.
The Service uses artificial intelligence to generate compliance narratives and risk assessments. AI-generated content is provided as a drafting aid and should be reviewed by a qualified compliance professional before use in regulatory filings, reports, or decisions. We make no representations about the legal sufficiency of AI-generated content.
The Service, including its design, code, documentation, and branding, is owned by Urim KYC and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal compliance purposes only. You may not reverse engineer, decompile, or create derivative works from the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, URIM KYC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR REGULATORY PENALTIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
You agree to indemnify, defend, and hold harmless Urim KYC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
We may suspend or terminate your account at any time for violation of these Terms, the Acceptable Use Policy, or for any conduct that we determine, in our sole discretion, may harm the Service or other users. You may cancel your account at any time through the Admin page of your dashboard. Upon termination, your data will be deleted in accordance with our Privacy Policy.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Hartford County, Connecticut.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Urim KYC regarding the Service and supersede all prior agreements.
